Although the Ohio Manufactures of Organization do not list the members of the LLC in the Articles, it is our experience through many years of customer feedback, that banks like to see the owner's names listed in the Manufactures of Organization. For that reason, TotalLegal always lists the possessor'south names every bit the organizer on the Articles of Organisation.

Other states list the "organizer(s)" of the LLC. In elementary terms, the organizer is only the person who is filing the LLC with the state. The organizer does not have to be one of the owners: the organizer can exist the registered agent of the LLC, an attorney, the LLC'due south accountant, a friend or family fellow member, a document filing visitor (like TotalLegal), or anyone, as long every bit they are authorized past the LLC to act every bit the organizer. TotalLegal does not grade LLCs in Colorado or Louisiana.

If you live in 1 of the states that simply lists the "organizer" of the LLC, and you want to go along the Registered Agent'due south information private, you should consider using a commercial registered agent. In some cases, the possessor of the LLC chooses to act every bit the registered agent of the LLC, merely the name of the registered amanuensis is always listed on the Articles of Organization, in every state.

LLCs should take an upwards-to-date Operating Agreement, which includes a listing of the members/owners of the LLC and their percentage of ownership, regardless of whether or non your Articles of Organization lists the members. The Operating Agreement is an internal certificate kept on file along with the residue of your LLC'southward records. The Operating Understanding is not filed with the state.
